So you decided you want to open your gaming company. What now?
In the gaming market, as in many others, the entrepreneur when formalizing and opening his company is full of doubts and questions. And now?
In today’s text, let’s talk a little bit about some of the first steps.
HIRE AN ACCOUNTANT!
Hiring a professional accountant is essential to start this process and with his guidance, company registration must be carried out in the following bodies:
- Your State Board of Trade;
- Federal Revenue Secretariat, for opening the documentations;
- State Secretariat of Finance;
- City Hall of the company;
The Board of Trade registers the Legal Entity by submitting documents and forms filled in with the accountant’s guidance. Once these documents and forms are delivered, the Board of Trade performs a check to confirm if there is another company in that state, with the same name or similar name, and comparison of the corporate purpose, which is nothing more than the activities to be performed by the company, such as: development, programming, etc.
In other words, if there is a bakery with the same name as your studio, everything is fine. What cannot happen are companies in the same industry with the same name. If this happens, the company that was applying for registration will have to propose a new name to avoid duplication of company names in the system.
Once this procedure is carried out, the CNPJ registration is the next step and, along with it, the definition of the company’s activities, according to the CNAE (Classification of Economic Activities) and according to the company’s Articles of Incorporation.
Is it just that or is there more?
There are still other procedures that must be carried out with the help of the accountant: municipal registration (the famous CCM), state registration, social security registration, among others.
It is interesting to take advantage of this moment to also look for a lawyer, who will be essential in the preparation of contracts, whether for external or internal services, confidentiality agreement, among other documents. The Articles of Incorporation are the only ones whose responsibility is the accountant, but even so it is worth reviewing by a lawyer, since there is corporate law, among other covenants that must be agreed upon before the execution of the legal documentation.
